1.1 These Terms and Conditions (“Terms”) govern membership of Firefly Hub Ltd (“Firefly Hub”, “we”, “us”, “our”) networking groups, meetings and related services.
1.2 By applying for membership, attending Firefly Hub meetings (including on a free trial basis), or continuing to participate in a Firefly Hub group after a free trial, a member agrees to be bound by these Terms.
1.3 These Terms apply to all members, regardless of the membership option or payment plan selected.
2.1 Firefly Hub may offer a free trial period (for example, a limited number of meetings) for prospective members. Any such free trial is described at the point of sign-up.
2.2 When signing up for a free trial, the prospective member will be asked to select a membership option (for example, monthly or annual) and provide payment details or a mandate.
2.3 Automatic transition after free trial
If, after completing a free trial, the prospective member continues to attend the group or remain in the Firefly Hub community, their membership will automatically move onto the membership option selected at sign-up, without further communication from Firefly Hub, and these Terms will take effect as a rolling contract for that membership option.
2.4 If the prospective member does not wish to become a paying member after the free trial, they must:

3.1 Membership is offered on a rolling basis aligned with the membership option chosen at sign-up.

3.3 Continuing to attend meetings and/or paying membership fees after any initial term means membership automatically renews on the same terms, unless otherwise agreed in writing.
4.1 Membership fees, payment frequency and any joining fees are set out at the point of sign-up and may be updated from time to time.
4.2 Members agree to pay membership fees in full and on time by the method requested by Firefly Hub.
4.3 No refunds within the membership period
If a member chooses to leave the group within their agreed membership period, including within any six-month period where applicable:

5.1 Firefly Hub is a collaborative networking community. By joining, each member agrees to:
5.2 Promotion of members
Members are expected to positively and actively promote other Firefly Hub members where genuinely appropriate, including:
5.3 Members are not required to make referrals where it would be inappropriate or contrary to their professional judgment or obligations. However, persistent refusal to engage in the spirit of mutual support may be treated as a breach of the Firefly Hub ethos under Section 7.
6.1 If a member wishes to leave their Firefly Hub group, they must give written notice in accordance with the notice period set out in their membership option.
6.2 Membership and any reserved seat in the group will end at the expiry of the applicable notice period.
6.3 As set out in Section 4.3, if a member leaves within their agreed membership period, they are not entitled to a refund of fees already paid.
7.1 Firefly Hub reserves the right to suspend or terminate a membership where a member’s behaviour is inconsistent with the Firefly Hub ethos or these Terms. Examples include, but are not limited to:
7.2 Where possible, concerns will be raised informally and/or in writing before formal action is taken. However, in serious cases Firefly Hub may suspend or terminate membership with immediate effect in order to protect the group.
7.3 If Firefly Hub terminates a membership for breach of these Terms or the Firefly Hub ethos:
8.1 Firefly Hub recognises that members may attend other networking events or join other business communities.
8.2 Firefly Hub does not prohibit members from attending other networking groups, provided that they:
8.3 Any specific category or seat rules for a particular group will be communicated separately by the Host and form part of that group’s operating guidelines.
9.1 Firefly Hub acts as a facilitator of introductions between members and guests. Firefly Hub does not provide professional services on behalf of members and is not party to any contracts entered into between members.
9.2 Each member acknowledges that:
9.3 Firefly Hub does not guarantee the quality, suitability or outcome of any services provided by members and is not responsible for any loss, damage or dispute arising from member-to-member work.
10.1 To the fullest extent permitted by law, Firefly Hub excludes all liability for:
10.2 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability which cannot lawfully be excluded.
11.1 Firefly Hub will process personal data in accordance with applicable UK data protection laws and its Privacy Policy.
11.2 By joining, members consent to Firefly Hub contacting them by email, phone or other reasonable means about:
11.3 Members may opt out of certain marketing communications at any time, but operational communications necessary to manage membership may still be sent.
12.1 Firefly Hub may update these Terms from time to time. Where changes are material, members will be notified by email or via usual communication channels.
12.2 Continued membership and attendance at meetings after such notice constitutes acceptance of the updated Terms.
13.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
13.2 The courts of England and Wales shall have exclusive jurisdiction over any dispute arising under or in connection with these Terms.
